Resonance Health has lodged its Corporate Governance Statement for the year ended 30 June 2026, setting out how our board and committees operate and where we've kept pace with the ASX Corporate Governance Council's recommendations.

The headline for shareholders: for most of the year our board wasn't made up mostly of independent directors. Following Martin Blake's retirement as Chair in November 2025, we took the time between then and April 2026 to properly identify the right people for two board vacancies, rather than rushing appointments. Aaron Brinkworth stepped in as independent Chair, and David Fuller and Michael Sistenich joined as independent non-executive directors on 28 April 2026, restoring the board's independent majority. Both new directors will stand for election at the 2026 AGM.

Elsewhere, we've followed the recommendations in full: our audit and risk committee, remuneration committee, and continuous disclosure practices are all in place and operating as expected, and our CEO and CFO continue to provide the standard sign-offs on our financial statements. We don't run a separate internal audit function given our size, relying instead on our ISO13485 quality management system, and we've flagged that a broader risk review is ongoing into FY27. We also don't yet have formal measurable gender diversity targets, though our diversity policy and workforce mix are disclosed.

None of this changes our strategy or operations, it's a report on how the company is governed and who's accountable for what.
